Nhut has experience in international business and multi-jurisdictional transactions.

His practice focuses principally on M&A, private equity, international finance, and inbound foreign investment in general.

Nhut has been involved in a number of large transactions in which he has acted for multinational clients to provide solutions, to structure, and to implement the transaction.

He has particular experience in structuring complex M&A deals that require creative structures of share acquisition in light of existing legal restrictions and ambiguities.

He has led the Russin & Vecchi team in various large-scale transactions, including comprehensive, non-conventional due diligence investigations, deal structuring, transaction documentation, performance of conditions precedent and rectification of due diligence issues, funding structures and funding documentation, coordinating closings and post-acquisition integration.

Nhut has practiced law in Vietnam for over 25 years.

  • Acted for Berli Jucker in various acquisitions in Vietnam– acquisition of mega store network from Metro Cash & Carry (Germany), acquisition of convenience store chain from Family Mart (Japan), acquisition of tissue factory from Unicharm (Japan);
  • Acted for Fortis Healthcare to acquire Hoan My Medical Corporation (the leading private hospital chain in Vietnam), then acted for Chandler Corporation in acquisitions of Hoan My Medical Corporation from Fortis Healthcare and individual founder, actively acting for Hoan My Medical Corporation in many acquisitions of private hospitals, as part of the client’s expansion to become the largest private healthcare network in Vietnam;
  • Acting for Phu My Hung in a number of M&A transactions involving large-scale and high-end real estate projects in different provinces in Vietnam;
  • Acted for PropertyGuru in a series of acquisitons leading to full ownership of Vietnam’s no. 1 real estate listing website (batdongsan.com) and in the group’s intitial public offering of CHESS Depositary Interests and listing on the Australian Stock Exchange;
  • Acted for Hoan My Medical Corporation in its issue of US$100 million-equivalent bonds guaranteed by CGIF (under the Asian Development Bank), as first bond offering for the healthcare industry;
  • Acted for Phu My Hung in the private placement of multi million bonds to IFC;
  • Acted for San Yang Industries (known as SYM) in its IPO and listing on the Hong Kong Stock Exchange involving a group of Vietnam-based operating companies manufacturing motorcycles and parts;
  • Acted for Vietnam Reinsurance Corporation (VinaRe) in private placement to strategic foreign investor Swiss Re (Switzerland), and for Bao Minh Insurance Corpoation in privpate placement to strategic foreign investor AXA (France);
  • Advise investors such as Manulife and Prudential in relation to investments in bonds issued by commercial banks and other corporations in Vietnam;
  • Acted for MoMo in several capital raising rounds with foreign private and soverign funds;
  • Advance AI: This is a fintech company founded in Singapore, backed by top-tier Asian and US venture capital firms focusing on big data, AI and FinTech investments around the globe. It provides finance solutions through credit scoring, anti-fraud detection, using big data and AI.  We advise the client on the legal structure as well as actual conduct of its businesses in Vietnam, including micro lending, from licensing to regulatory advisory, from contract review to corporate matters;
  • Facepay: Wee Digital provides biometric authentication solutions (known as “Facepay”). We advised and assisted in a complex structure with comprehensive documentation to interpret “Facepay” in merchants’ tech-enabled payment systems, involving the entire payment chain, from merchants (such as convenience stores) to intermediary payment service providers (ie, e-wallet platforms) and clearing houses (ie, commercial banks);
  • Acting for Ayala Engery in various joint ventures with local partners for renewable energy development projects;
  • Undisclosed Japanese telecom corporation: We advised on the legal framework for the data center business, and assisted in structuring a joint venture with a local partner for a data center in Ho Chi Minh City working with the Tokyo offices of Squire Patton Boggs;
  • Assisted an unnamed American chipmaker in country due diligence and incorporation of US$1 billion chip assembly and testing factory with hi-tech status in Saigon Hi-tech Park in Ho Chi Minh City, and providing on-going advice on various issues related to operation, hi-tech business, investment incentives, etc;
